Terms of Service

Definitions. As used in the Agreement to which these General Terms and Conditions is attached, the following terms shall have the respective meanings indicated below unless otherwise indicated or if the context otherwise requires.

  • Platform. Any website owned by Snap SEO including but not limited to  snapseo.ca. May be preceded by, but not limited to: “http://”, “https://”, “http://www.”, andhttps://www.” And its subdomains.

 

1.Acceptance of Terms

The services that Snap SEO provides to User is subject to the following Terms of Service (“TOS”).  Snap SEO reserves the right to update the TOU at any time without notice to User. The most current version of the TOS can be reviewed by clicking on the “Terms of Service” hypertext link located at the bottom of our Web pages.

A. This Agreement, which incorporates by reference other provisions applicable to use of sites, including, but not limited to, supplemental terms and conditions set forth hereof (“Supplemental Terms”) governing the use of certain specific material contained in sites, sets forth the terms and conditions that apply to use of sites by User. By using Snap SEO (other than to read this Agreement for the first time), User agrees to comply with all of the terms and conditions hereof. The right to use sites is personal to User and is not transferable to any other person or entity. User is responsible for all use of User’s Account (under any screen name or password) and for ensuring that all use of User’s Account complies fully with the provisions of this Agreement. User shall be responsible for protecting the confidentiality of User’s password(s), if any.

B. Snap SEO shall have the right at any time to change or discontinue any aspect or feature of sites, including, but not limited to, content, services, hours of availability, and equipment needed for access or use.

C. By clicking “I agree”, accessing, or using the Platform you agree to be bound by this Agreement and the Privacy Policy.  We may amend our Terms of Use or the Privacy Policy and may notify you when we do so.  PLEASE BE AWARE THAT THERE ARE ARBITRATION AND CLASS ACTION PROVISIONS THAT MAY AFFECT YOUR RIGHTS.  If you do not agree to the Terms of Use or the Privacy Policy please cease using our Platform immediately.

2.Description of Services

Through its Web property, Snap SEO provides User with access to a variety of resources, including but not limited to download areas, e-commerce, messaging and product information (collectively “Services”). The Services, including any updates, enhancements, new features, and/or the addition of any new Web properties, are subject to the TOS.

3.User Information and Accounts

Users may be required to register on the Platform before accessing portions of the Platform. Your information will be collected and disclosed in accordance with our Privacy Policy. All users are required to provide truthful and accurate information when registering for our Platform and must be over the age of 18.  Users may only register for one account per user.  We reserve the right to verify all user credentials and to reject any users. You are entirely responsible for maintaining the confidentiality of your password and account and for any and all activities that occur under your account. You agree to notify Snap SEO immediately of any unauthorized use of your account or any other breach of security. Snap SEO will not be liable for any losses you incur as a result of someone else using your password or account, either with or without your knowledge.  If you are registering on behalf of your company, you represent and warrant that you are authorized by your company to create an account on your company’s behalf and you represent and warrant that you are authorized by your company to incur financial obligations and enter into legally binding agreements on behalf of your company.

3. Access and License Grant to You

After registering and properly paying where required, we grant you a personal, non-exclusive, revocable, limited license to access the Platform and to use any of our services. As a user, you do not receive any ownership interest in any portion of the Platform; you merely receive the aforementioned revocable access and license as stated. All rights not explicitly granted are reserved for Snap SEO. If you breach any of our usage guidelines, as stated below, we may revoke your license or your access to use our Platform at our discretion. Additionally, we may revoke your license or restrict your access to our Platform if we believe that your actions may harm us, our business interests, or at our discretion. Failure by us to revoke your license or restrict access does not act as a waiver of your conduct.

4. Use of Services

Through the Platform, Snap SEO may offer SEO services or other services such as web development. Snap SEO uses reasonable efforts to provide these services to you; however, all services provided depend on innumerable factors and market variables outside of Snap SEO’s direct control. For these reasons, all services offered are not guaranteed and are offered “as-is.” Where you decide to use any services provided by the Platform, you agree that we make no guarantees, including but not limited to web placement, rankings, or any profits. You understand that the services offered may have variance, be inexact, cause adverse effects, or be otherwise incorrect. An increase in search engine ranking, increase in business, or any other associated benefits are neither implied nor guaranteed. Website rankings or results may vary by region, search engine, or fluctuate based on factors outside of our control. Due to the nature of our services, you agree:

  • Snap SEO is not responsible for any changes made to a user’s website that adversely affects the search engine rankings of the user’s website.
  • Snap SEO has no control over the policies of search engines with respect to the type of sites and / or content that they accept now or in the future, and user may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
  • Snap SEO cannot and does not guarantee any position change, fixed position, or position increase for any keyword, phrase, or search term.
  • Snap SEO makes no representations of any profits or increased business related to a user’s use of the services.
  • Snap SEO has no control over any actions or inaction by any search engines related to a user’s website or a website’s ranking.

You agree to release us from any liability we may incur for providing you with any services offered via Platform. You agree that any service or other information found on the Platform may be inaccurate, unsubstantiated or possibly even incorrect. You agree to release us from any liability that we may have in relation to your use of our Platform. Services may contain e-mail services, event services, bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable User to communicate with others (each a “Communication Service” and collectively “Communication Services”). User agrees to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, User agrees that when using the Communication Services, User will not:

Snap SEO has no obligation to monitor the Communication Services. However, Snap SEO reserves the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. Snap SEO reserves the right to terminate User’s access to any or all of the Communication Services at any time, without notice, for any reason whatsoever. Snap SEO reserves the right at all times to disclose any information as it deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in SNAP SEO’s sole discretion.

Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and / or dissemination; User is responsible for adhering to such limitations if User downloads the materials.

Always use caution when giving out any personally identifiable information in any Communication Services. Snap SEO does not control or endorse the content, messages or information found in any Communication Services and, therefore, Snap SEO expressly disclaims any liability with regard to the Communication Services and any actions resulting from User’s participation in any Communication Services. Managers and hosts are not authorized Snap SEO spokespersons, and their views do not necessarily reflect those of Snap SEO.

Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; User is responsible for adhering to such limitations if User downloads the materials.

Always use caution when giving out any personally identifiable information in any Communication Services. Snap SEO does not control or endorse the content, messages or information found in any Communication Services and, therefore, Snap SEO specifically disclaims any liability with regard to the Communication Services and any actions resulting from User’s participation in any Communication Services. Managers and hosts are not authorized Snap SEO spokespersons, and their views do not necessarily reflect those of Snap SEO.

5. User Obligations

For any users that wish to purchase any services offered via the Platform, you agree that you will promptly cooperate and provide to Snap SEO access, software codes, data, documents, content, art, and/or other information needed by us to provide any services to you. Your failure to cooperate or assist us may prevent the completion of any services offered. Where you fail to cooperate with Snap SEO, you agree that no refunds may be granted.

6. Use of the Platform

When using our Platform, you are responsible for your and for any use of Snap SEO made using your account and for your use of any services provided. You agree to the following:

  • You may not copy, distribute or disclose any part of the Platform in any medium, including without limitation by any automated or non-automated “scraping”;
  • You may not attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Platform;
  • You may not use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Platform or to extract data;
  • You may not use automated bots or other software to send more messages through our Platform than humanly possible;
  • You may not share your license or access with any other parties;
  • You may not use the Platform on a computer that is used to operate nuclear facilities, life support, or other mission-critical applications where life or property may be at stake;
  • You may not decompile, reverse engineer, disassemble, modify, rent, sell, lease, loan, distribute, or create derivative works or improvements to the Platform or any portion of it;
  • You may not access our Platform in an attempt to build a similar or other competitive product;
  • You may not use the Platform to store or transmit any health, medical, or sensitive financial information;
  • You may not take any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
  • You may not collect or harvest any personally identifiable information, including account names, from the Platform;
  • You may not impersonate any person or entity or misrepresent your affiliation with a person or entity;
  • You may not violate or infringe other people’s intellectual property, privacy, or other contractual rights while using our Platform;
  • You may not use the Platform for any purposes that are misleading, unlawful, defamatory, obscene, invasive, threatening, or harassing;
  • You may not violate any requirements, procedures, policies or regulations of networks connected to Snap SEO;
  • You may not sell, lease, loan, distribute, transfer, or sublicense the Platform or access to it or derive income from the use or provision of the Platform unless enabled through the functionality of our Platform;
  • You may not interfere with or disrupt the Platform;
  • You may not violate any law or regulation, and you solely are responsible for such violations;
  • You agree that you will not hold Snap SEO responsible for your use of our Platform; and
  • You agree not to cause, or aid in, the disruption, destruction, manipulation, removal, disabling, or impairment of any portion of our Platform, including the de-indexing or de-caching of any part of our Platform from a thirty party’s website, such as by requesting its removal from a search engine.

If you are discovered to be undertaking any of the aforementioned actions, your privileges to use our Platform may at our discretion be terminated or suspended. Generally, we will provide an explanation for any suspension or termination of your use of any of our Platform, but Snap SEO reserves the right to suspend or terminate any account at any time without notice or explanation.

7. User Conduct

A.User shall use the Platform for lawful purposes only. User shall not post or transmit through sites any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law, or which, without Snap SEO’s express prior approval, contains advertising or any solicitation concerning products or services. Any conduct by a User that in Snap SEO’s discretion restricts or inhibits any other User from using or enjoying sites will not be permitted. User shall not use sites for advertising or performing any commercial solicitation, including, but not limited to, the solicitation of users to become subscribers of other online information services competitive with Snap SEO.

B.The Platform contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of sites are copyrighted as a collective work under the Canadian copyright laws. Snap SEO owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. User may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. User may download copyrighted material for User’s personal use only. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express permission of Snap SEO and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. User acknowledges that it does not acquire any ownership rights by downloading copyrighted material.

C.User shall not upload, post or otherwise make available on sites any material protected by copyright, trademark or other proprietary rights without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with User. User shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission. By submitting material to any public area of sites, User automatically grants or warrants that the owner of such material has expressly granted Snap SEO the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. User also permits any other User to access, view, store or reproduce the material for that User’s personal use. User hereby grants Snap SEO the rights to edit, copy, publish and distribute any material made available on sites by User.

D.The foregoing provisions of Section 7 are for the benefit of Snap SEO, its subsidiaries, affiliates and its third party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its behalf.

8. Privacy Policy

We value your privacy and understand your privacy concerns. Our Privacy Policy is incorporated into this Agreement, and it governs your access to and use of the Platform. Please review our Privacy Policy so that you may understand our privacy practices. All information we collect is subject to our Privacy Policy, and by using the Platform you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. You further understand that any information collected by Snap SEO may be transferred to the United States and/or other countries for storage, processing and use by Snap SEO and its affiliates.

9. Platform Availability

Although we try to provide continuous availability to you, we do not guarantee that the Platform will always be available, work, or be accessible at any particular time. Additionally, Snap SEO is under no obligation to provide the services to any users and may suspend a user’s access to the Platform at any time and our discretion. Only users who are eligible to use our Platform may do so, and we may refuse service or terminate your access at any time. We cannot guarantee that anything found on our Platform will work to your desired functionality or give you any desired results.

10. Modification of Platform

We reserve the right to alter, modify, update, or remove our Platform at any time. We may conduct such modifications to our Platform for security reasons, intellectual property, legal reasons, or other reasons at our discretion. We are not required to explain such changes. For example, we may provide updates to fix security flaws or to respond to legal demands. Please note that this is a non-binding illustration of how we might exercise our rights under this section. Nothing in this section obligates us to take measures to update the Platform for security, legal or other purposes.

11.Payments

Portions of the Platform or specific services offered may require payment, and you agree to pay for all costs, fees, and taxes listed. User authorizes Snap SEO or its third-party payment processors to charge their payment method at the time of purchase. Please be aware that purchases are completed via our third-party payment processors. Where applicable, you must agree to our third-party payment processors terms and conditions for processing payments. All information you provide in connection with a purchase or transaction must be accurate, complete, and current. Where you have failed to pay or where payments are overdue, Snap SEO may suspend or terminate your access to any services of the Platform without liability to us.

12. Subscription Plans and Automatic Renewals

For your convenience, some services offered by Snap SEO may be made on a recurring subscription basis (“Paid Subscription”). Where you decide to purchase any Paid Subscriptions, your payment information shall be logged, and you will be charged monthly for any Paid Subscriptions. YOU AUTHORIZE US TO BILL YOU ON A RECURRING BASIS AND AGREE THAT AT THE EXPIRATION OF YOUR INITIAL PAID SUBSCRIPTION, YOUR PAID SUBSCRIPTION SHALL AUTOMATICALLY RENEW FOR ADDITIONAL MONTHLY SUBSCRIPTION PERIODS (OR FOR THE SAME PERIOD AS YOUR INITIAL PAID SUBSCRIPTION) UNTIL WE ARE NOTIFIED OTHERWISE. YOU AGREE THAT NO ADDITIONAL CONSENT IS REQUIRED BY YOU TO CHARGE YOUR PREFERRED PAYMENT METHOD AUTOMATICALLY AND ON A RENEWABLE BASIS FOR THE PAID SUBSCRIPTION PLAN SELECTED BY YOU. If you wish to cancel your Paid Subscription please cancel through your dashboard. If you are not under contract for your Paid Subscription, a 30-day cancellation notice is required. You must provide written notice of your intent to cancel at least 30 days prior to the upcoming subscription renewal cycle. Failure to comply with this notice period will result in the fulfillment of the most recent renewal prior to cancellation. The cancellation will take effect following the renewal cycle in which the notice was received. By utilizing our Paid Subscription services, you agree to abide by this 30-day cancellation notice policy.Where your Paid Subscription has been cancelled or expired, we have no liability to you for any deleted, inaccessible, modified, or removed User Content.

If you cancel a subscription and renew the services, Snap SEO is authorized to bill a new setup fee for the services being rendered.

13. Pricing and Price Increases

The pricing for any services or Paid Subscriptions is listed on the Snap SEO Platform. Snap SEO may increase the price of any Paid Subscriptions or services at our discretion, and we reserve the right to do so at any time. In the event of a price increase, Snap SEO shall notify you, and you will have the chance to accept or reject any price increase. Please inform us if you intend to reject a price increase. Where you have rejected a price increase, you may be unable to access portions of the Platform. You agree that Snap SEO has no obligation to offer any services or Paid Subscriptions for the price initially offered to you at sign-up.

14. Refunds

As we offer online services, we cannot offer refunds for any Paid Subscriptions or any paid services. Please be aware that all purchases are final. However, Snap SEO wants you to be satisfied with our services, and thus we offer a 30 Day Satisfaction Guarantee. If you are dissatisfied with any of our services, please contact us by submitting a ticket within thirty (30) days of receiving your order report. Once we have received your communication, we will communicate with you to understand your concerns and will assist in rectifying any dissatisfaction caused by our services. Please note, with our PPC Management service: while our satisfaction guarantee applies to the management fee, we are unable to offer refunds for any ad spend paid to Google. Once ad spend payments are made to Google, they are final.

15. Deliverables

When using the Platform, user may be entitled to receive press releases, blog posts, or other creative content (collectively the “Deliverables”) upon purchase of our services. Contingent on complete and timely payment, Snap SEO shall assign to user all right, title, and ownership interest to any Deliverables purchased by the user. Where user has failed to pay for any Deliverable in a timely manner, Snap SEO reserves the right to withhold or demand the return of any Deliverable from the user. Unused promotional and non-promotional Deliverables will expire after one (1)year. If there are any discrepancies, please contact Snap SEO by submitting a ticket.

16. Estimates

Please be aware that some of our services provided may list estimated dates and timelines for delivery or completion (“Estimated Dates”). Although, Snap SEO shall attempt to deliver all services by the Estimated Dates, these Estimated Dates are merely good faith estimates and are non-binding in nature. Snap SEO reserves the right to modify, alter, or extend any Estimated Dates at our discretion. Snap SEO is not responsible or liable for any failure to provide any services before any Estimated Dates listed on the Platform. Snap SEO reserves the right to automatically approve all types of orders waiting for client approval. Automatic approvals will vary with the product but will only occur after five (5) days of inactivity with the order in question. Oral or written statements made by any agents, employees, or contractors of Snap SEO regarding any Estimated Dates are non-binding. They do not alter any contractual agreements between Snap SEO and any users.

17. Intellectual Property

The name “Snapseo”, snapseo.ca, Snap SEO Platform along with the design of Snap SEO Platform and any text, writings, images, templates, scripts, graphics, interactive features and any trademarks or logos contained therein (“Marks”), are owned by or licensed to Snap SEO, subject to copyright and other intellectual property rights under Canada and foreign laws and international conventions. Snap SEO reserves all rights not expressly granted in and to the Platform. You agree to not engage in the use, copying, or distribution anything contained within the Platform unless we have given express written permission.

18.Idea Submission

Please do not submit any unsolicited ideas, content, artwork, suggestions, or other works (“Submissions”) in any form to Snap SEO. Snap SEO or any of its employees do not accept or consider unsolicited ideas, including but not limited to ideas relating to processes, technologies, product enhancements, or product names. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Snap SEO’s products or services might seem similar to the ideas you submitted to Snap SEO. If, despite our request that you not send us your ideas, you agree to the following:

  • Your Submissions and their contents will automatically become the property of Snap SEO, without any compensation to you;
  • Snap SEO may use or redistribute the submissions and their contents for any purpose and in any way;
  • There is no obligation for Snap SEO to review the Submission; and
  • There is no obligation to keep any Submissions confidential.

19.Materials or Ideas Submitted to Snap SEO

Snap SEO does not claim ownership of the materials User provides to Snap SEO (including feedback and suggestions) or post, upload, input, or submit to any Services or its associated services for review by the general public or by the members of any public or private community, (each a “Submission” and collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting (“Posting”) User’s Submission User is granting Snap SEO, its affiliated companies and necessary sublicensees permission to use User’s Submission in connection with the operation of their Internet businesses (including, without limitation, all Snap SEO Services), including, without limitation, the license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat User’s Submission; to publish User’s name in connection with User’s Submission; and the right to sublicense such rights to any supplier of the Services.

No compensation will be paid with respect to the use of User’s Submission, as provided herein. Snap SEO is under no obligation to post or use any Submission User may provide, and Snap SEO may remove any Submission at any time at its sole discretion. By Posting a Submission User warrants and represents to own or otherwise control all of the rights to User’s Submission as described in these Terms of Use including, without limitation, all the rights necessary for User to provide, post, upload, input, or submit the Submissions.

In addition to the warranty and representation set forth above, by Posting a Submission that contains images, photographs, pictures or that are otherwise graphical in whole or in part (“Images”), User warrant and represents that (a) User is the copyright owner of such Images, or that the copyright owner of such Images has granted User permission to use such Images or any content and / or images contained in such Images consistent with the manner and purpose of User’s use and as otherwise permitted by these Terms of Use and the Services, (b) User have the rights necessary to grant the licenses and sublicenses described in these Terms of Use, and (c) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in these Terms of Use, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images. By Posting Images, the User is granting (a) to all members of User’s private community (for each such Images available to members of such private community), and / or (b) to the general public (for each such Images available anywhere on the Services, other than a private community), permission to use User’s Images in connection with the use, as permitted by these Terms of Use, of any of the Services, (including, by way of example, and not as a limitation, making prints and gift items which include such Images), and including, without limitation, a non-exclusive, worldwide, royalty-free license to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat User’s Images without having User’s name attached to such Images, and the right to sublicense such rights to any supplier of the Services. The licenses granted in the preceding sentences for Images will terminate at the time User altogether remove such Images from the Services, provided that such termination shall not affect any licenses granted in connection with such Images prior to the time User completely remove such Images. No compensation will be paid concerning the use of the User’s Images.

20. Disclaimer of Warranty; Limitation of Liability

A. USER EXPRESSLY AGREES THAT USE OF THE PLATFORM IS AT USER’S SOLE RISK. NEITHER SNAP SEO, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT SITES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORM, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH THE PLATFORM.

B. THE PLATFORM IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.

C. THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. USER SPECIFICALLY ACKNOWLEDGES THAT Snap SEO IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH USER.

D. IN NO EVENT WILL SNAP SEO, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE PLATFORM OR THE SNAP SEO SOFTWARE, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE PLATFORM. USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE PLATFORM.

E. IN ADDITION TO THE TERMS SET FORTH ABOVE NEITHER, SNAP SEO, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN SITES, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.

F. PRIOR TO THE EXECUTION OF A STOCK TRADE, USERS ARE ADVISED TO CONSULT WITH YOUR BROKER OR OTHER FINANCIAL REPRESENTATIVE TO VERIFY PRICING OR OTHER INFORMATION. Snap SEO, ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL HAVE NO LIABILITY FOR INVESTMENT DECISIONS BASED ON THE INFORMATION PROVIDED. NEITHER, Snap SEO ,NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS WARRANT OR GUARANTEE THE TIMELINESS, SEQUENCE, ACCURACY OR COMPLETENESS OF THIS INFORMATION. ADDITIONALLY, THERE ARE NO WARRANTIES AS TO THE RESULTS OBTAINED FROM THE USE OF THE INFORMATION.

G. FORCE MAJEURE – NEITHER PARTY WILL BE RESPONSIBLE FOR ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, WAR, RIOT, EMBARGOES, ACTS OF CIVIL OR MILITARY AUTHORITIES, FIRE, FLOODS, ACCIDENTS, SERVICE OUTAGES RESULTING FROM EQUIPMENT AND/OR SOFTWARE FAILURE AND/OR TELECOMMUNICATIONS FAILURES, POWER FAILURES, NETWORK FAILURES, FAILURES OF THIRD PARTY SERVICE PROVIDERS (INCLUDING PROVIDERS OF INTERNET SERVICES AND TELECOMMUNICATIONS). THE PARTY AFFECTED BY ANY SUCH EVENT SHALL NOTIFY THE OTHER PARTY WITHIN A MAXIMUM OF FIFTEEN (15) DAYS FROM ITS OCCURRENCE. THE PERFORMANCE OF THS AGREEMENT SHALL THEN BE SUSPENDED FOR AS LONG AS ANY SUCH EVENT SHALL PREVENT THE AFFECTED PARTY FROM PERFORMING ITS OBLIGATIONS UNDER THIS AGREEMENT.

Snap SEO shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on sites. Without limiting the foregoing, Snap SEO shall have the right to remove any material that Snap SEO, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

24. Indemnification

User agrees to defend, indemnify and hold harmless Snap SEO, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of the use of Snap SEO by User or User’s Account.

25. Termination

Either Snap SEO or User may terminate this Agreement at any time. Without limiting the foregoing, Snap SEO shall have the right to immediately terminate User’s Account in the event of any conduct by User which Snap SEO, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement.

26. Miscellaneous

This Agreement and any operating rules for sites established by Snap SEO constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of Alberta Canada, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

Snap SEO reserves the right to cancel, suspend, and or ban any account for any reason without notice. A user account will also be linked to the tickets.
